What is this? Are they going public? Are they crowdfunding?
They are staying private but allowing regular people – like those who visit their locations – to invest. It’s called “Regulation Crowdfunding”. We’re going to take a deep dive into what Regulation Crowdfunding is – and what AutoCamp wants you to invest in.
AutoCamp Regulation Crowdfunding – What is it?!
Here’s what the Securities and Exchange Commission (SEC) has to say about Regulation Crowdfunding:
Regulation Crowdfunding enables eligible companies to offer and sell securities through crowdfunding. The rules:
- require all transactions under Regulation Crowdfunding to take place online through an SEC-registered intermediary, either a broker-dealer or a funding portal
- permit a company to raise a maximum aggregate amount of $5 million through crowdfunding offerings in a 12-month period
- limit the amount individual non-accredited investors can invest across all crowdfunding offerings in a 12-month period and
- require disclosure of information in filings with the Commission and to investors and the intermediary facilitating the offering
Securities purchased in a crowdfunding transaction generally cannot be resold for one year.

In plain English: AutoCamp wants you to invest in them, and there are rules set by the government to protect investors.
AutoCamp Regulation Crowdfunding – What Does AutoCamp Want?
Well, your money. They are appealing to several audiences to invest in AutoCamp:
- fans of AutoCamp
- fans of glamping
- those who see the business potential in the outdoor lodging market
- those who see the value of their partnerships with Airstream and Hilton
AutoCamp Regulation Crowdfunding – What Will They Do With the Money Raised?
According to AutoCamp CEO Neil Dipaola, the proceeds fom this offering will be used for hiring teams to help find new properties and also to generate more marketing initiatives to create materials to promote brand awareness. Recently, AutoCamp produced a video called “Indoorsy“. This video highlights the spirit of AutoCamp: highlighting the spirit of camping yet having all the luxuries of a boutique hotel.
By bringing on more properties and creating more marketing initiatives, AutoCamp will accelerate the pipeline of increasing the number of guests per year, increasing the rate per year, and increasing the annual revenue at the properties under the AutoCamp umbrella. These increases will increase the fees paid to OpCo – and that is where you’re investing. Additional benefits: it will allow new owners of RV parks, campgrounds, and outdoor hotels to find AutoCamp, leading to potential new partnerships. The point: the symbiosis of the OpCo and PropCo relationship. A rising tide for PropCo will lift OpCo’s boat that you (and I) as an investor will be in.
AutoCamp Regulation Crowdfunding – Did AutoCampREVIEWS.com Invest?
Yes, we invested the absolute minimum: $1,000.
Why?
We were mostly interested in staying “in the loop” on what is happening with the AutoCamp business. We didn’t want to invest more in order to maintain our independence and unbiased reviews and news coverage.
What amounts could people invest?
Accredited investors can invest as much as they want. But if you are NOT an accredited investor (normal people – like me), your investment limit depends on either your annual income or net worth, whichever is greater. If the number is less than $124,000, you can only invest 5% of it. If both are greater than $124,000, then your investment limit is 10%.
There are bonuses available to early investors. We received a 4% bonus for investing by May 27, 2026.
AutoCamp Regulation Crowdfunding: Why did they Choose this type of funding?
Neil Dipaola, founder and CEO, says that this allows ordinary people to invest in the private company. It sounds like the intent is to keep AutoCamp private, as opposed to publicly traded. Therefore, this method allows those who would like to invest who are not “accredited investors“, i.e. ordinary people, the opportunity to invest.
AutoCamp Regulation Crowdfunding: How Much Money Are They Looking For?
The minimum is $10,002.45. That’s nothing, really. That’s 10 people investing the minimum. So, the threshold is super low for AutoCamp Regulation Crowdfunding. They have until September 30, 2026.
The maximum they will allow to be invested by Regulation Crowdfunding is $1,234,997.

There’s really no telling, and AutoCamp is being very careful with their wording, of course.
AutoCamp Regulation Crowdfunding: Is It Risky?
Like any investment, yes, of course there is risk. This model of how the business is set up, “OpCo and “PropCo” – you’re investing ONLY in the OpCo side. This is the part of the business that is responsible for BRANDING and marketing. Hugely important: You are NOT investing in property/locations or the physical lodgings (Airstreams, X Suites, Cabins, tents). We will cover this in detail in the NEXT ARTICLE
The Company will pay DealMaker Securities LLC a cash fee of 8.5% commission based on the dollar amount of Securities sold in the Offering. A $32,500 advance setup fee and $15,000 monthly fee is also payable to DealMaker Securities LLC and/or its affiliates

$15,000 a month?! Until when? We got an answer on the Invest page: “The fee is paid only while the fund raising is on-going.”

AutoCamp Regulation Crowdfunding – Conclusion
We didn’t see this coming, and that’s fine, but we sure are finding this FASCINATING. Years ago, we reported that the goal was for 100 new AutoCamp properties. We thought that would be AutoCamp campgrounds as we know them based on the existing 8 open properties. Now, we learn this is really about AutoCamp being a multi-branded “world wide hospitality platform” of both organically grown AutoCamp properties, like the ones we know to date, BUT also purchases of other properties such as existing campgrounds and RV parks that would keep their branding but operate under the AutoCamp umbrella.
